M&A and divestiture IT checklist: Day 1 and Day 100
Use this to plan the IT side of an acquisition, merger or divestiture. It covers what to do before completion, what must work on Day 1 and what the first 100 days should deliver.
Before completion
- Deal dates confirmed: signing, completion, and any transitional services agreement term
- IT due diligence findings priced and assigned to before completion, Day 100 or later
- Admin access to the other tenant and key systems agreed for completion day
- Decision makers named on both sides for IT changes
- Communications plan for staff drafted with HR
Day 1: acquisitions
- Security checks of the acquired tenant completed before any trust is extended
- Free/busy, a shared address list and Teams chat working across both businesses
- Access to the shared sites and systems people need straight away
- Support contacts and escalation path published
- Nothing forced to change for users unless it has to

Day 1: divestitures
- The new tenant built to a secure baseline, or TSA services confirmed
- Data scoping decisions made for shared mailboxes, sites and Teams
- Legal hold and retention obligations mapped for both sides
- Access rules for the divested business agreed for the TSA period
The first 100 days
- Full inventory of identities, data, devices, applications and licences
- Migration or separation plan with waves and dates
- Security baseline applied to the acquired or new environment
- Provider and contract changes planned, with notice periods
- Licences consolidated or separated
- TSA exit date confirmed against the plan
Signs you need help
- Completion is weeks away and nobody has looked inside the other tenant
- The TSA was written without IT input
- Integration is planned for a team that is already fully committed
